In the event of any conflict between these Terms and an executed services agreement, the services agreement shall govern.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YUM D THAI CUISINE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COMPUTER FAILURE OR MALFUNCTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF YUM D THAI CUISINE LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO THE COMPANY, IF ANY, FOR SERVICES DURING THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

9. Indemnification

You agree to defend, indemnify, and hold harmless YUM D THAI CUISINE LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site; (c) your violation of any applicable law, regulation, or third-party right; or (d) any content or information you submit or transmit through the Site.

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Connecticut, and the parties hereby consent to the personal jurisdiction and venue of such courts.

Before initiating any formal legal proceeding, you agree to first contact us at contact@yumthai.mom and attempt to resolve the dispute informally. If the dispute cannot be resolved within sixty days of such notice, either party may proceed with a formal claim.

11. Termination

We reserve the right, in our sole discretion, to terminate or suspend your access to the Site, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

12. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent, or severed if modification is not possible. The remaining provisions shall continue in full force and effect, and the unenforceability of any provision in a particular jurisdiction shall not affect its enforceability in any other jurisdiction.

13. Waiver

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, and any failure by the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable services agreement executed between the parties, constitute the entire agreement between you and YUM D THAI CUISINE LLC with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, representations, communications, or agreements, whether written or oral, relating to the Site and our services.

15. Changes to These Terms
